1. Definitions

In these Terms and Conditions, the following terms have the meanings indicated:

"Service" refers to the corporate accommodation services provided by Nimbara, including property rental, preparation, management, and related support services.

"Tenant" refers to the individual or corporate entity entering into a lease agreement with Nimbara for accommodation.

"Property" refers to the furnished apartment, condominium, or villa being rented through our services.

"Agreement" refers to the legally binding contract formed between Nimbara and the Tenant upon booking confirmation.

2. Acceptance of Terms

By submitting an inquiry, confirming a booking, or occupying any property managed by Nimbara, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

You must be at least 18 years of age to enter into a lease agreement with Nimbara. By booking a property, you confirm that you meet this age requirement and have the legal capacity to enter into binding contracts under Malaysian law.

3. Service Description

Nimbara provides fully furnished corporate accommodation across Malaysia. Our services include:

Property preparation with complete furnishings, tested appliances, and verified utilities before tenant arrival.

Relocation concierge assistance for neighborhood orientation and local registration procedures.

Maintenance coordination throughout the lease period with 24-hour response for standard requests.

Property management including cleaning services (where specified) and regular property inspections.

Service availability is subject to property availability and may vary by location. We reserve the right to modify service offerings with reasonable notice to existing tenants.

4. Booking and Reservations

Bookings are confirmed upon receipt of a signed lease agreement and payment of the initial deposit (one month's rent plus security deposit equal to one month's rent). Properties are held subject to availability and cannot be guaranteed until deposit payment is received.

We typically require 7 to 10 business days notice for standard property preparation. Urgent requests may be accommodated subject to availability of ready-to-occupy units and may incur additional preparation fees.

Cancellation of confirmed bookings more than 14 days before scheduled move-in results in forfeiture of 50% of the deposit. Cancellations within 14 days of move-in date forfeit the entire deposit. This policy reflects our commitment to prepare properties specifically for confirmed tenants.

5. Payment Terms

All payments must be made in Malaysian Ringgit (RM). We accept bank transfers and corporate billing arrangements. Credit card payments may incur processing fees as specified at the time of transaction.

Rent is payable monthly in advance, due on the 1st of each month. Late payment of more than 5 business days incurs a 10% late fee on the outstanding amount. Persistent late payment (more than two consecutive months) may result in lease termination.

Utilities (electricity, water, gas) are billed separately based on actual consumption unless otherwise stated in the specific property agreement. Internet service is included in the monthly rent for all properties.

Security deposits are refundable within 30 days of lease termination, subject to deductions for property damage beyond normal wear and tear, outstanding bills, or cleaning costs exceeding standard preparation requirements.

6. Lease Duration and Renewal

Minimum lease periods vary by property type: Relocation-Ready Apartments (1 month), Executive Condominiums (3 months), Private Villas (6 months). Lease terms are specified in individual agreements.

Lease renewal is subject to mutual agreement between Nimbara and the tenant. We provide renewal terms 60 days before lease expiration. Rental rates may be adjusted for renewals based on market conditions and property costs.

Early termination is permitted with 60 days written notice and payment of a termination fee equal to one month's rent, in addition to forfeiture of the security deposit. This reflects the costs of preparing properties for subsequent tenants.

7. Tenant Responsibilities

Tenants must maintain the property in good condition, exercising reasonable care of furnishings, appliances, and fixtures. Normal wear and tear is expected and acceptable, but negligent damage or misuse will result in repair charges deducted from the security deposit.

Occupancy is limited to the number of persons specified in the lease agreement. Subletting or allowing unauthorized occupants is strictly prohibited and constitutes grounds for immediate lease termination.

Tenants must comply with building regulations, condominium bylaws, and Malaysian laws. This includes respecting noise restrictions, parking regulations, and waste disposal requirements. Violations reported by building management may result in fines charged to the tenant.

Smoking is prohibited inside all properties. Evidence of smoking (odor, stains, or other indicators) will result in deep cleaning charges of RM 500 minimum, deducted from the security deposit.

8. Maintenance and Repairs

Nimbara is responsible for maintaining the property in habitable condition and repairing damage not caused by tenant negligence. We commit to addressing maintenance requests within 24 hours for standard issues and same-day for emergencies affecting habitability (plumbing failures, electrical problems, security issues).

Tenants must report maintenance issues promptly through designated channels (property manager email or phone). Failure to report issues in a timely manner, resulting in additional damage, may result in tenant liability for repair costs.

Tenants are responsible for damage caused by negligence, misuse, or failure to maintain basic cleanliness standards. This includes clogged drains caused by improper disposal, appliance damage from misuse, or pest infestations resulting from poor housekeeping.

9. Limitation of Liability

Nimbara provides properties "as described" in listing materials and ensures they meet stated preparation standards. However, we do not guarantee that properties will meet every expectation or suit every preference. Viewings (virtual or in-person) are available where possible before booking confirmation.

We are not liable for temporary service disruptions beyond our control, including utility outages, internet service interruptions, or building facility closures for maintenance or repairs. Where possible, we will coordinate alternative arrangements or rent adjustments for extended disruptions.

Our total liability under any lease agreement is limited to the total rent paid for that lease period. We are not liable for indirect damages including business interruption, relocation costs, or other consequential losses.

10. Indemnification

Tenants agree to indemnify and hold harmless Nimbara, its owners, and employees from any claims, damages, or expenses arising from tenant's use of the property, violation of these terms, or breach of applicable laws. This includes legal fees incurred in defending against such claims.

11. Privacy and Data Protection

Personal data collected during the booking and tenancy process is handled in accordance with our Privacy Policy and Malaysia's Personal Data Protection Act 2010. For detailed information about data collection, use, and protection, please refer to our Privacy Policy.

12. Termination

Nimbara may terminate the lease agreement immediately for material breach including non-payment of rent beyond 10 business days, unauthorized subletting, property damage beyond normal wear and tear, or violations of building regulations resulting in formal complaints.

Upon termination (whether at scheduled lease end or early termination), tenants must vacate the property by the specified date, remove all personal belongings, and return keys. Property inspections are conducted within 48 hours of key return to assess any damage or cleaning requirements.

Holdover beyond the agreed termination date without explicit written approval incurs daily charges equal to 150% of the pro-rated daily rent until the property is vacated and keys are returned.

13. Dispute Resolution

In the event of disputes arising from or related to these terms or any lease agreement, parties agree to first attempt resolution through good-faith negotiation. Written notice of the dispute must be provided to the other party, allowing 14 days for response and resolution attempts.

If negotiation fails, disputes will be resolved through mediation under the auspices of the Malaysian Mediation Centre before pursuing legal action. If mediation is unsuccessful, the dispute shall be subject to the exclusive jurisdiction of the courts of Malaysia.

14. Governing Law

These Terms and Conditions and all lease agreements are governed by and construed in accordance with the laws of Malaysia. Any legal proceedings must be brought in the courts of Kuala Lumpur, Malaysia.

15. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be communicated to active tenants via email at least 30 days before taking effect. Continued use of our services after changes become effective constitutes acceptance of the modified terms.

Modifications do not affect existing lease agreements except where required by changes in Malaysian law. In such cases, tenants will be notified and given options for compliance or early termination without penalty.

16. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable under Malaysian law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
